SUMMARY
We’re looking for a thoughtful, business-minded Corporate Counsel with in-house consumer goods or manufacturing experience. In this dynamic role, you will partner across the organization to provide practical legal guidance on commercial contracts, marketing initiatives, employment matters, and regulatory compliance for our herbal and dietary supplement products in both domestic and international markets. Reporting to the Assistant General Counsel, you will play a key role in supporting strategic business initiatives while ensuring our practices reflect the integrity, purpose, and values that define Traditional Medicinals. Compensation range is $204,533 - $236,580.
Compensation is determined based on non-discriminatory, business-related factors, including but not limited to, training, experience, education and/or professional certifications, geographic location, and market data.

ESSENTIAL FUNCTIONS
- Analyzes potential legal implications of, and provides ongoing legal consultation regarding, new large-scale company initiatives.
- Partners with internal departments in the contract analysis, drafting, negotiation, revision and finalization of contracts. Includes drafting contracts, reviewing and analyzing third party contracts, revising contracts as needed and negotiating with third parties and/or their counsel. Summarizes contracts and communicates key contractual provisions to appropriate parties on an as needed basis.
- Conducts preliminary trademark searches as requested; when requested, coordinates trademark filings with outside counsel.
- Assists, to the extent requested, all necessary product registration filings in foreign countries and compliance with all legal requirements in all foreign countries in which Traditional Medicinals does business.
- Provides counsel and/or interfaces with foreign regulatory counsel, on various legal matters related to the Company's overseas business.
- Provides legal counsel to the company on employment matters, including advising the Human Resources Department on various employment related issues, drafting and revising employment related agreements, documents, policies and procedures, and assisting with investigations and employee training.
- To the extent requested, assists with
- any disputes between Traditional Medicinals and third parties;
- litigation brought against Traditional Medicinals or initiated by Traditional Medicinals, including without limitation interfacing with outside counsel, and assisting with discovery; and
- challenges brought against Traditional Medicinals by the government, competitors or industry self regulatory bodies.
- Provides legal counsel to the Marketing Department with respect to selected marketing activities, such as sweepstakes, coupons, rebates, promotions, social media and website activities.
- Assists in special projects, including policy review, revision, adoption and training, and the development, monitoring and improvement of departmental processes to increase efficiency of routine legal procedures.
- Assists Traditional Medicinals in investigation and resolution of product issues.
- Performs legal research in all areas as requested.
- Interfaces as needed with outside counsel.
- Provides back up to the extent necessary to other corporate counsel.
- Responsible for the preparation of registration applications and other regulatory submissions related to dietary supplements and/or health foods to be sold in the domestic or international markets.
- Prepares regulatory-mandated label copy for dietary supplements and/or health food products. Proof-reads and approves label artwork and bulk labels based on research and interpretation of product formulas, applicable regulations, contract provisions, account preferences and Traditional Medicinals policies. Monitors formula changes and label revisions to assure compliance with domestic and foreign regulatory requirements.
- Monitors, analyzes and assures compliance with regulatory requirements for the registration or premarket or import clearance of dietary supplements and/or health products in the domestic or international markets and is responsible for the preparation and tracking of internal and external documentation associated with product registrations, premarket, import clearance and post market surveillance.
- Manages regulatory project timelines, product registration and ingredient databases
- Works with regulatory bodies and consultants, acting as a liaison to prepare, assess and submit product registration dossiers and other regulatory submissions related to international products for the purpose of registering Traditional Medicinals products.
- Oversees the submission of applicable documents through appropriate U.S. agencies for their legalization by applicable consulates/embassies. Updates product registration status by country.
- Responsible for handling any maintenance "ad hoc" projects due to label revisions or new regulatory changes.
- Performs other related duties as assigned.
- Experience/Education: (include number of years of experience required)
- A four year college degree or its equivalent and a juris doctor degree.
- Must have passed the California State Bar exam and be a licensed attorney in good standing or able to register as in-house counsel.
- Ideally 2-5 years of experience either entirely in a law firm or in a law firm combined with in-house experience, including experience structuring, drafting, negotiating and reviewing commercial agreements.
- Prior in-house experience preferred, ideally within consumer products, manufacturing, or similar industries.
- Prior experience with consumer-product related issues and international law matters (contracts, compliance with foreign laws and foreign product registrations) is preferred.
- Additional experience such as employment law, litigation, or trademark is a plus

- This position is based in Rohnert Park, CA. Office hours are Monday through Friday, 8:30 – 5:00 pm. This is a hybrid role offering the flexibility to occasionally work remotely. Expected in-offices days are Tuesday, Wednesday and Thursday. Subject to change.
